Whereas:

(1) Il settimo programma quadro è stato adottato con decisione n. 1982/2006/CE del Parlamento europeo e del Consiglio del 18 dicembre 2006 concernente il settimo programma quadro della Comunità europea per le attività di ricerca, sviluppo tecnologico e dimostrazione (2007-2013) [4]. L'attuazione del programma quadro e dei suoi programmi specifici, ivi compresi i relativi aspetti finanziari, spetta alla Commissione.

(1) The Seventh Framework Programme was adopted by Decision No 1982/2006/EC of the European Parliament and of the Council of 18 December 2006 concerning the Seventh Framework Programme of the European Community for research, technological development and demonstration activities (2007 to 2013) [4]. It is the responsibility of the Commission to ensure the implementation of that framework programme and its specific programmes, including the related financial aspects.

(2) Il settimo programma quadro è attuato conformemente al regolamento (CE, Euratom) n. 1605/2002 del Consiglio, del 25 giugno 2002, che stabilisce il regolamento finanziario applicabile al bilancio generale delle Comunità europee [5] (di seguito "il regolamento finanziario") e al regolamento (CE, Euratom) n. 2342/2002 della Commissione, del 23 dicembre 2002, recante modalità d'esecuzione del regolamento finanziario [6] (qui di seguito "le modalità di esecuzione").

(2) The Seventh Framework Programme is implemented in accordance with Council Regulation (EC, Euratom) No 1605/2002 of 25 June 2002 on the Financial Regulation applicable to the general budget of the European Communities [5], hereinafter "the Financial Regulation", and Commission Regulation (EC, Euratom) No 2342/2002 of 23 December 2002 laying down detailed rules for the implementation of the Financial Regulation [6], hereinafter "the Implementing Rules".

(3) Il settimo programma quadro è attuato altresì conformemente alla disciplina concernente gli aiuti di Stato, in particolare la disciplina per gli aiuti di Stato alla ricerca e allo sviluppo, attualmente la disciplina comunitaria per gli aiuti di Stato alla ricerca e sviluppo [7].

(3) The Seventh Framework Programme is also implemented in accordance with the State aid rules, in particular the rules on State aid for research and development, currently the Community Framework for State Aid for Research and Development [7].

(4) Il trattamento di dati riservati è disciplinato da tutta la pertinente normativa comunitaria, inclusi i regolamenti interni delle istituzioni, come la decisione 2001/844/CE, CECA, Euratom della Commissione, del 29 novembre 2001, che modifica il regolamento interno della Commissione [8] riguardo alle disposizioni in materia di sicurezza.

(4) Treatment of confidential data is governed by all the relevant Community legislation, including the Institutions' internal rules such as Commission Decision 2001/844/EC, ECSC, Euratom of 29 November 2001 amending its internal Rules of Procedure [8] regarding provisions of security.

(5) Le regole per la partecipazione di imprese, centri di ricerca e università dovrebbero offrire un quadro coerente, completo e trasparente per garantire la più efficace attuazione possibile, tenendo conto della necessità di un accesso agevole per tutti i partecipanti mediante procedure semplificate, conformemente al principio di proporzionalità.

(5) The rules for the participation of undertakings, research centres and universities should provide a coherent, comprehensive and transparent framework to ensure the most efficient implementation possible, taking into account the need for easy access for all participants through simplified procedures, in accordance with the principle of proportionality.

(6) Le regole dovrebbero inoltre facilitare lo sfruttamento della proprietà intellettuale sviluppata da un partecipante, tenendo anche conto delle possibili modalità di organizzazione del partecipante sul piano internazionale, proteggendo al contempo gli interessi legittimi degli altri partecipanti e della Comunità.

(6) The rules should also facilitate the exploitation of intellectual property developed by a participant, taking also into account the way in which the participant may be organised internationally, whilst protecting the other participants' and the Community's legitimate interests.

(7) Il settimo programma quadro dovrebbe promuovere la partecipazione delle regioni ultraperiferiche della Comunità e di un'ampia gamma di imprese, centri di ricerca e università, incluse le PMI.

(7) The Seventh Framework Programme should promote participation from the outermost regions of the Community, as well as from a wide range of undertakings, research centres and universities, including SMEs.

(8) Per ragioni di coerenza e di trasparenza, si applica la definizione di micro imprese e piccole e medie imprese (PMI) contenuta nella raccomandazione 2003/361/CE [9] della Commissione.

(8) The definition of micro, small and medium-sized enterprises (SMEs) provided in Commission Recommendation 2003/361/EC [9] should apply, for reasons of coherence and transparency.

(9) È necessario stabilire le condizioni minime di partecipazione, sia come regola generale sia per quanto concerne le specificità delle azioni indirette nell'ambito del settimo programma quadro. In particolare, occorre stabilire regole per quanto concerne il numero di partecipanti e il loro luogo di stabilimento.

(9) It is necessary to establish the minimum conditions for participation, both as a general rule and with regard to the specificities of indirect actions under the Seventh Framework Programme. In particular, rules should be laid down regarding the number of participants and their place of establishment.

(10) I soggetti giuridici dovrebbero essere liberi di partecipare una volta che hanno soddisfatto le condizioni minime. La partecipazione in eccesso rispetto al numero minimo previsto dovrebbe garantire l'attuazione efficace dell'azione indiretta interessata.

(10) It is appropriate that any legal entity should be free to participate once the minimum conditions have been satisfied. Participation over and above the minimum should ensure the efficient implementation of the indirect action concerned.

(11) Le organizzazioni internazionali che operano nel campo dello sviluppo della cooperazione in materia di ricerca in Europa e che sono composte in gran parte da Stati membri o paesi associati dovrebbero essere incentivate a partecipare al settimo programma quadro.

(11) International organisations dedicated to developing cooperation in the field of research in Europe and largely made up of Member States or Associated countries should be encouraged to participate in the Seventh Framework Programme.

(12) Dalla decisione 2001/822/CE del Consiglio, del 27 novembre 2001, relativa all'associazione dei paesi e territori d'oltremare alla Comunità europea ("Decisione sull'associazione d'oltremare") [10] risulta che i soggetti giuridici dei paesi e territori d'oltremare possono partecipare al settimo programma quadro.

(12) It follows from Council Decision 2001/822/EC of 27 November 2001 on the association of the overseas countries and territories with the European Community ("Overseas Association Decision") [10], that legal entities of the overseas countries and territories are eligible to participate in the Seventh Framework Programme.

(13) Conformemente agli obiettivi di cooperazione internazionale di cui agli articoli 164 e 170 del trattato, è opportuno prevedere la partecipazione di soggetti giuridici stabiliti in paesi terzi e di organizzazioni internazionali. Tuttavia, è necessario accertarsi che tale partecipazione sia giustificata in termini di rafforzamento del contributo apportato agli obiettivi fissati dal settimo programma quadro.

(13) In line with the objectives of international cooperation as described by Articles 164 and 170 of the Treaty, the participation of legal entities established in third countries should also be envisaged, as should the participation of international organisations. However, it is appropriate to require that such participation be justified in terms of the enhanced contribution thereby made to the objectives sought under the Seventh Framework Programme.

(14) Conformemente agli obiettivi summenzionati, è necessario stabilire i termini e le condizioni del finanziamento comunitario a favore dei partecipanti alle azioni indirette.

(14) In line with the objectives mentioned above, it is necessary to establish the terms and conditions for providing Community funding to participants in indirect actions.

(15) Per favorire i partecipanti, la transizione dal metodo di calcolo dei costi utilizzato nel Sesto programma quadro dovrebbe essere efficace e agevole. Il processo di controllo del settimo programma quadro dovrebbe pertanto riguardare l'impatto sul bilancio di tale cambiamento, in particolare per quanto concerne le relative conseguenze in termini di oneri amministrativi dei partecipanti.

(15) For the benefit of participants, there should be an effective and smooth transition from the cost calculation regime used in the Sixth Framework Programme. The monitoring process of the Seventh Framework Programme should, therefore, address the budgetary impact of this change in particular as regards its effect on the administrative burden for participants.

(16) La Commissione dovrebbe stabilire ulteriori regole e procedure, oltre a quelle previste dal regolamento finanziario e dalle sue modalità di esecuzione e dal presente regolamento, per disciplinare la presentazione, la valutazione e la selezione delle proposte, l'aggiudicazione delle sovvenzioni, nonché le procedure di ricorso per i partecipanti. Occorre in particolare stabilire le regole che disciplinano il ricorso ad esperti indipendenti.

(16) It is necessary for the Commission to establish further rules and procedures, in addition to those provided for in the Financial Regulation and its Implementing Rules and this Regulation, to govern the submission, evaluation and selection of proposals and award of grants, as well as redress procedures for participants. In particular the rules governing the use of independent experts should be established.

(17) È opportuno che la Commissione stabilisca ulteriori regole e procedure, oltre a quelle previste dal regolamento finanziario e dalle sue modalità di esecuzione, per disciplinare la valutazione della capacità giuridica e finanziaria dei partecipanti alle azioni indirette nell'ambito del settimo programma quadro. Tali regole dovrebbero creare il giusto equilibrio tra l'intento di tutelare gli interessi finanziari della Comunità e quello di semplificare e facilitare la partecipazione dei soggetti giuridici al settimo programma quadro.

(17) It is appropriate for the Commission to establish further rules and procedures, in addition to those provided for in the Financial Regulation and its Implementing Rules, to govern the assessment of the legal and financial viability of participants in indirect actions under the Seventh Framework Programme. Such rules should strike the right balance between protecting the Community's financial interests and simplifying and facilitating the participation of legal entities in the Seventh Framework Programme.

(18) Il regolamento finanziario, le modalità di esecuzione e il regolamento (CE, Euratom) n. 2988/95 del Consiglio, del 18 dicembre 1995, relativo alla tutela degli interessi finanziari delle Comunità [11], disciplinano, tra l'altro, la protezione degli interessi finanziari della Comunità, la lotta contro le frodi e le irregolarità, le procedure per il recupero delle somme dovute alla Commissione, l'esclusione dalle procedure di appalto e di sovvenzione e le relative sanzioni, nonché gli audit, i controlli e le verifiche effettuati dalla Commissione e dalla Corte dei Conti a norma dell'articolo 248, paragrafo 2, del trattato.

(18) In this context, the Financial Regulation and the Implementing Rules and Council Regulation (Euratom, EC) No 2988/95 of 18 December 1995 on the protection of the European Communities' financial interests [11], govern inter alia the protection of the Community's financial interests, the fight against fraud and irregularity, the procedures for the recovery of sums owed to the Commission, exclusion from contract and grant procedures and related penalties, and audits, checks, and inspections by the Commission and the Court of Auditors, pursuant to Article 248(2) of the Treaty.

(19) Occorre che il contributo finanziario della Comunità giunga ai partecipanti senza indebiti ritardi.

(19) It is necessary that the Community financial contribution reaches the participants without undue delay.

(20) Gli accordi conclusi per ciascuna azione dovrebbero prevedere la supervisione e il controllo finanziario da parte della Commissione o di un rappresentante da essa autorizzato, nonché gli audit della Corte dei Conti e i controlli sul posto svolti dall'Ufficio europeo per la lotta antifrode (OLAF), secondo le procedure stabilite dal regolamento (Euratom, CE) n. 2185/96 del Consiglio, dell' 11 novembre 1996, relativo ai controlli e alle verifiche sul posto effettuati dalla Commissione ai fini della tutela degli interessi finanziari delle Comunità europee contro le frodi e altre irregolarità [12].

(20) The agreements concluded for each action should provide for supervision and financial control by the Commission, or any representative authorised by the Commission, as well as audits by the Court of Auditors and on-the-spot checks carried out by the European Anti-Fraud Office (OLAF), in accordance with the procedures laid down in Council Regulation (Euratom, EC) No 2185/96 of 11 November 1996 concerning on-the-spot checks and inspections carried out by the Commission in order to protect the European Communities' financial interests against fraud and other irregularities [12].

(21) La Commissione dovrebbe monitorare sia le azioni indirette realizzate nell'ambito del settimo programma quadro, sia il settimo programma quadro stesso e i suoi programmi specifici. Al fine di garantire che il controllo e la valutazione dell'attuazione delle azioni indirette siano efficaci e coerenti, la Commissione dovrebbe istituire e mantenere un sistema d'informazione appropriato.

(21) The Commission should monitor both the indirect actions carried out under the Seventh Framework Programme and the Seventh Framework Programme and its Specific Programmes. With a view to ensuring the efficient and coherent monitoring and evaluation of the implementation of indirect actions, the Commission should set up and maintain an appropriate information system.

(22) Il settimo programma quadro dovrebbe rispecchiare e promuovere i principi generali stabiliti nella Carta europea dei ricercatori e nel Codice di condotta per l'assunzione di ricercatori [13], rispettandone il carattere volontario.

(22) The Seventh Framework Programme should reflect and promote the general principles laid down in the European Charter for Researchers and Code of Conduct for the Recruitment of Researchers [13], while respecting their voluntary character.

(23) Le regole che disciplinano la diffusione dei risultati della ricerca dovrebbero garantire che, ove opportuno, i partecipanti proteggono la proprietà intellettuale derivante dalle azioni, e valorizzano e diffondono questi risultati.

(23) The rules governing the dissemination of research results should ensure that, where appropriate, the participants protect the intellectual property generated in actions, and use and disseminate those results.

(24) Nel rispetto dei diritti dei detentori di proprietà intellettuale, queste regole dovrebbero essere concepite in modo da garantire che i partecipanti e, se del caso, i soggetti ad essi collegati stabiliti in uno Stato membro o paese associato, abbiano accesso alle informazioni che apportano al progetto e alle conoscenze che risultano dai lavori di ricerca svolti nell'ambito del progetto nella misura necessaria per eseguire il lavoro di ricerca o valorizzare le conoscenze che ne derivano.

(24) While respecting the rights of the owners of intellectual property, those rules should be designed to ensure that participants and, where appropriate, their affiliated entities established in a Member State or associated country have access to information they bring to the project and to knowledge arising from research work carried out in the project to the extent necessary to conduct the research work or to use the resulting knowledge.

(25) L'obbligo stabilito nell'ambito del Sesto programma quadro per alcuni partecipanti di assumersi la responsabilità finanziaria per i loro partner nell'ambito dello stesso consorzio viene soppresso. In tale contesto, è opportuno istituire un fondo di garanzia per i partecipanti, gestito dalla Commissione, per coprire gli importi dovuti e non rimborsati da partner inadempienti. Tale approccio promuoverà la semplificazione e faciliterà la partecipazione, segnatamente, delle PMI, tutelando al contempo gli interessi finanziari della Comunità in modo appropriato per il settimo programma quadro.

(25) The obligation established in the sixth Framework Programme for certain participants to take financial responsibility for their partners in the same consortium will be waived. In this context, a participant guarantee fund, managed by the Commission, should be established to cover amounts due and not reimbursed by defaulting partners. Such an approach will promote simplification and facilitate the participation of, notably, SMEs, whilst safeguarding the Community's financial interests in a manner appropriate for the Seventh Framework Programme.

(26) I contributi della Comunità ad un'impresa comune o qualsiasi altra struttura costituita in applicazione dell'articolo 171 o dell'articolo 169 del trattato non rientrano nel campo di applicazione del presente regolamento.

(26) Community contributions to a joint undertaking or any other structure set up pursuant to Article 171 of the Treaty, or pursuant to Article 169 of the Treaty do not fall within the scope of this Regulation.

(27) Il presente regolamento rispetta i diritti fondamentali e i principi sanciti, in particolare, nella Carta dei diritti fondamentali dell'Unione europea.

(27) This Regulation respects the fundamental rights and observes the principles recognised in particular by the Charter of Fundamental Rights of the European Union.

(28) La Comunità può concedere una sovvenzione alla Banca europea per gli investimenti (BEI) per rafforzare gli investimenti del settore privato in azioni europee di RST ammissibili di grande portata, rafforzando la capacità della BEI di gestire i rischi e consentendo (i) un volume più importante di prestiti BEI per un determinato livello di rischi e (ii) il finanziamento azioni di RST europee che presentano un rischio più elevato di quanto sarebbe possibile senza sostegno comunitario.

(28) The Community may award a grant to the European Investment Bank (EIB) to foster private sector investment in eligible large European RTD actions by increasing the capacity of the EIB to manage risk, thus allowing for (i) a larger volume of EIB lending for a certain level of risk, and (ii) the financing of riskier European RTD actions than would be possible without such Community support.

(29) Come stabilito nel regolamento finanziario, la Comunità può offrire un sostegno finanziario tra l'altro mediante:

(29) The Community may provide financial support, as established in the Financial Regulation, inter alia by means of:

a) aggiudicazioni di appalti pubblici, sotto forma di un prezzo per beni o servizi stabiliti per contratto e scelti sulla base di un bando di gara;

(a) public procurements, in the form of a price for goods or services established by contract and selected on the basis of calls for tender;

b) sovvenzioni;

(b) grants;

c) contributi finanziari ad un'organizzazione sotto forma di diritti di iscrizione;

(c) subscriptions to an organisation in the form of a membership fee;

d) onorari destinati ad esperti indipendenti di cui all'articolo 17 del presente regolamento,

(d) honoraria for independent experts identified in Article 17 of this Regulation,

CHAPTER I

DISPOSIZIONI INTRODUTTIVE

Subject matter

Il presente regolamento fissa le regole per la partecipazione di imprese, centri di ricerca e delle università, nonché di altri soggetti giuridici alle azioni realizzate da uno o più partecipanti, mediante i meccanismi di finanziamento di cui all'allegato III, lettera a), della decisione n. 1982/2006/CE, qui di seguito le "azioni indirette".

This Regulation lays down the rules for the participation of undertakings, research centres and universities and other legal entities in actions undertaken by one or more participants by means of funding schemes identified in part (a) of Annex III to Decision No 1982/2006/EC, hereinafter "indirect actions".

Fissa anche le regole concernenti il contributo finanziario della Comunità ai partecipanti alle azioni indirette del settimo programma quadro, conformemente al regolamento finanziario e alle modalità di esecuzione.

It also lays down rules, in accordance with those laid down in the Financial Regulation and the Implementing Rules concerning the Community financial contribution to participants in indirect actions under the Seventh Framework Programme.

Per quanto riguarda i risultati delle ricerche svolte nell'ambito del settimo programma quadro, il presente regolamento stabilisce le regole per la diffusione delle conoscenze acquisite mediante qualsiasi mezzo adeguato, escluso quello risultante dalle formalità per la protezione di tali conoscenze, ivi compresa la pubblicazione delle conoscenze acquisite su qualsiasi mezzo, qui di seguito "diffusione".

As regards the results of research carried out under the Seventh Framework Programme, this Regulation lays down rules for the disclosure of foreground by any appropriate means other than that resulting from the formalities for protecting it, and including the publication of foreground in any medium, hereinafter "dissemination".

Inoltre stabilisce le regole per l'utilizzazione diretta o indiretta delle conoscenze acquisite in ulteriori attività di ricerca diverse da quelle previste dall'azione indiretta interessata, per sviluppare, creare e commercializzare un prodotto o un processo, o per creare e fornire un servizio, qui di seguito "utilizzo".

In addition, it lays down rules for the direct or indirect utilisation of foreground in further research activities other than those covered by the indirect action concerned, or for developing, creating and marketing a product or process, or for creating and providing a service, hereinafter "use".

Per quanto concerne le conoscenze acquisite e le conoscenze preesistenti, il presente regolamento stabilisce le regole concernenti le licenze e i diritti di utilizzazione, qui di seguito i "diritti di accesso".

In respect of both foreground and background, this Regulation lays down rules concerning licences and user rights thereto, hereinafter "access rights".

Definizioni

Definitions

Ai fini del presente regolamento, oltre alle definizioni stabilite nel regolamento finanziario e nelle modalità d'esecuzione, si intende per:

For the purposes of this Regulation, the following definitions shall apply in addition to those set out in the Financial Regulation and the Implementing Rules:

1) "soggetto giuridico", una persona fisica o giuridica, costituita secondo il diritto nazionale applicabile nel suo luogo di stabilimento, o secondo il diritto comunitario o il diritto internazionale, dotata di personalità giuridica e che può, agendo in nome proprio, esercitare diritti ed essere soggetta a obblighi. Nel caso delle persone fisiche, per luogo di stabilimento si intende il luogo di residenza abituale;

1) "legal entity" means any natural person, or any legal person created under the national law of its place of establishment, or under Community law or international law, which has legal personality and which may, acting in its own name, exercise rights and be subject to obligations. In the case of natural persons, references to establishment are deemed to refer to habitual residence;

2) "soggetto collegato", un soggetto giuridico che si trova sotto il controllo diretto o indiretto di un partecipante, o sotto lo stesso controllo diretto o indiretto cui è soggetto il partecipante, in una delle forme di cui all'articolo 6, paragrafo 2;

2) "affiliated entity" means any legal entity that is under the direct or indirect control of a participant, or under the same direct or indirect control as the participant, control taking any of the forms set out in Article 6(2);

3) "condizioni eque e ragionevoli", condizioni appropriate, ivi comprese eventuali condizioni finanziarie che tengano conto delle circostanze specifiche della richiesta di accesso, ad esempio il valore reale o potenziale delle conoscenze acquisite o preesistenti di cui è richiesto l'accesso e/o la portata, la durata o altre caratteristiche dell'utilizzo previsto;

3) "fair and reasonable conditions" means appropriate conditions including possible financial terms, taking into account the specific circumstances of the request for access, for example the actual or potential value of the foreground or background to which access is requested and/or the scope, duration or other characteristics of the use envisaged;

4) "conoscenze acquisite", i risultati, ivi comprese le informazioni, generati dall'azione indiretta interessata, indipendentemente dal fatto che possano essere protetti o meno. Questi risultati comprendono i diritti patrimoniali d'autore (copyright), i diritti su disegni e modelli, i brevetti, le privative per ritrovati vegetali o forme analoghe di protezione;

4) "foreground" means the results, including information, whether or not they can be protected, which are generated by the indirect action concerned. Such results include rights related to copyright, design rights, patent rights, plant variety rights or similar forms of protection;

5) "conoscenze preesistenti", le informazioni detenute dai partecipanti prima dell'adesione alla convenzione di sovvenzione, nonché i diritti patrimoniali d'autore o altri diritti di proprietà intellettuale relativi a tali informazioni, le cui richieste di protezione sono state depositate prima della loro adesione alla convenzione di sovvenzione, necessari per l'attuazione dell'azione indiretta o per l'utilizzo dei suoi risultati;

5) "background" means information which is held by participants prior to their accession to the grant agreement, as well as copyrights or other intellectual property rights pertaining to such information, the application for which has been filed before their accession to the grant agreement, and which is needed for carrying out the indirect action or for using the results of the indirect action;

6) "partecipante", un soggetto giuridico che contribuisce ad un'azione indiretta ed è titolare di diritti e di obblighi nei confronti della Comunità, in conformità del presente regolamento;

6) "participant" means a legal entity contributing to an indirect action and having rights and obligations with regard to the Community under the terms of this Regulation;

Where the grant agreement requires participants to carry out activities that benefit third parties, the participants shall advertise this widely and identify, evaluate and select third parties transparently, fairly and impartially. If provided for in the work programme, the grant agreement shall establish criteria for the selection of such third parties. The Commission reserves the right to object to the selection of the third parties.

8. The Commission shall, in close cooperation with Member States, establish a model grant agreement in accordance with this Regulation. If a significant modification of the model grant agreement proves necessary, the Commission shall, in close cooperation with Member States, revise it as appropriate.

9. Tale convenzione rispecchia i principi generali contenuti nella Carta europea dei ricercatori e nel Codice di condotta per l'assunzione di ricercatori. 9. The model grant agreement shall reflect the general principles laid down in the European Charter for Researchers and the Code of Conduct for the Recruitment of Researchers. It shall address, as appropriate, synergies with education at all levels; readiness and capacity to foster dialogue and debate on scientific issues and research results with a broad public beyond the research community; activities to increase the participation and role of women in research; and activities addressing socio-economic aspects of the research.

1. Save where otherwise provided in the call for proposals, all participants in an indirect action shall conclude an agreement, hereinafter "the consortium agreement", to govern inter alia the following:

a) l'organizzazione interna del consorzio;

(a) the internal organisation of the consortium;

b) la ripartizione del contributo finanziario della Comunità;

(b) the distribution of the Community financial contribution;

c) le regole sulla diffusione, valorizzazione e diritti di accesso, supplementari a quelle di cui al capo III, nonché le regole relative a disposizioni pertinenti della convenzione di sovvenzione;

(c) rules on dissemination, use and access rights, additional to those in Chapter III and to the provisions in the grant agreement;

(d) the settlement of internal disputes including cases of abuse of power;

e) i patti tra i partecipanti in materia di responsabilità, indennizzo e riservatezza.

(b) to verify whether the legal entities identified in the grant agreement complete the necessary formalities for accession to the grant agreement;

(c) to receive the Community financial contribution and to distribute it in accordance with the consortium and grant agreement;

d) tenere i registri e la contabilità inerenti al contributo finanziario della Comunità e informare la Commissione circa la sua ripartizione, a norma dell'articolo 24, paragrafo 1, lettera b), e dell'articolo 36;

(d) to keep the records and financial accounts relevant for the Community financial contribution and to inform the Commission of its distribution in accordance with Articles 24(1), point (b) and 36;

1. The participants in an indirect action may agree to add a new participant or to remove an existing participant in accordance with the respective provisions in the consortium agreement.

3. In specific cases, where provided for in the grant agreement, the consortium shall publish a competitive call and advertise it widely using specific information support, particularly Internet sites on the Seventh Framework Programme, the specialist press and brochures, and the national contact points set up by the Member States and associated countries for information and support.

The monitoring and evaluation referred to in Article 7 of Decision No 1982/2006/EC shall include aspects relating to the application of this Regulation, in particular aspects relevant for SMEs, and shall address the budgetary impact of the changes in the cost calculation regime as compared to the Sixth Framework Programme and its effects on the administrative burden for participants.

1. Having due regard to Article 3, the Commission shall, upon request, make available to any Member State or associated country any useful information in its possession on foreground arising from work carried out in the context of an indirect action, provided that the following conditions are met:

(a) the information concerned is relevant to public policy;

Nel caso della partecipazione di un'organizzazione internazionale diversa da un'organizzazione internazionale di interesse europeo o di un soggetto giuridico stabilito in un paese terzo diverso da un paese associato o da un paese partner nell'ambito della cooperazione internazionale, il contributo finanziario della Comunità può essere concesso a condizione che sia rispettata almeno una delle condizioni seguenti:

(e) they must be exclusive of non-eligible costs, in particular identifiable indirect taxes including value added tax, duties, interest owed, provisions for possible future losses or charges, exchange losses, costs related to return on capital, costs declared, incurred, or reimbursed in respect of another Community project, debt and debt service charges, excessive or reckless expenditure, and any other costs that do not meet the conditions laid down in points (a) to (d).

1. In compliance with Article 31(3), point (c), a participant may use a simplified method of calculation of its indirect eligible costs at the level of its legal entity if this is in accordance with its usual accounting and management principles and practices. Principles to be followed in this respect shall be set out in the model grant agreement.

The grant agreement may provide that the reimbursement of indirect eligible costs is to be limited to a maximum percentage of the direct eligible costs, excluding the direct eligible costs for subcontracting, in particular in the case of coordination and support actions, and, where appropriate, actions for training and career development of researchers.

4. By derogation from paragraph 2, for the coverage of indirect eligible costs a participant may opt for a flat rate of its total direct eligible costs, excluding its direct eligible costs for subcontracting or reimbursement of third parties' costs.

La Commissione stabilisce siffatti tassi forfettari in base ad una stretta approssimazione dei costi indiretti reali interessati, conformemente al regolamento finanziario e alle sue modalità di esecuzione.

The Commission shall establish appropriate flat rates based on a close approximation of the real indirect costs concerned, in accordance with the Financial Regulation and its Implementing Rules.

5. Gli organismi pubblici senza scopo di lucro, gli istituti di istruzione secondaria e superiore, gli organismi di ricerca e le PMI, che non sono in grado di individuare con certezza i propri costi indiretti reali per l'azione interessata, quando partecipano a meccanismi di finanziamento che comprendono attività di ricerca e sviluppo tecnologico e dimostrazione, di cui all'articolo 33, possono optare per un tasso forfettario equivalente al 60 % dei costi diretti ammissibili totali per sovvenzioni concesse in base ad inviti a presentare proposte con scadenza anteriore al 1o gennaio 2010.

Non-profit public bodies, secondary and higher education establishments, research organisations and SMEs which are unable to identify with certainty their real indirect costs for the action concerned, when participating in funding schemes which include research and technological development and demonstration activities, as referred to in Article 33, may opt for a flat-rate equal to 60 % of the total direct eligible costs for grants awarded under calls for proposals closing before 1 January 2010.

With a view to facilitating a transition to full application of the general principle established in paragraph 2, the Commission shall establish, for grants awarded under calls closing after 31 December 2009, an appropriate level of flat rate which should be an approximation of the real indirect costs concerned but not lower than 40 %. This will be based on an evaluation of participation by non-profit public bodies, secondary and higher education establishments, research organisations and SMEs which are unable to identify with certainty their real indirect costs for the action concerned.

For security-related research and technological development activities, it may reach a maximum of 75 % in the case of the development of capabilities in domains with very limited market size and a risk of "market failure" and for accelerated equipment development in response to new threats.

6. Paragraphs 1 to 5 shall apply, as appropriate, in the case of indirect actions where flat-rate financing or lump-sum financing is used for the whole indirect action.

1. I partecipanti devono presentare alla Commissione relazioni periodiche concernenti i costi ammissibili, gli interessi finanziari derivanti dai prefinanziamenti, e le entrate in relazione all'azione indiretta interessata, se del caso, un certificato relativo agli stati finanziari, a norma del regolamento finanziario e delle sue modalità di esecuzione.

1. Periodic reports shall be submitted to the Commission regarding eligible costs, financial interest yielded by pre-financing, and receipts in relation to the indirect action concerned and, where appropriate, a certificate on the financial statements, in accordance with the Financial Regulation and the Implementing Rules.

Occorre notificare anche l'esistenza di un cofinanziamento in relazione all'azione interessata, certificato, se del caso, da un certificato di audit.

The existence of co-financing in relation to the concerned action shall be reported and, where appropriate, certified at the end of the action.

2. In deroga al regolamento finanziario e alle sue modalità di esecuzione, è obbligatorio un certificato relativo agli stati finanziari solo qualora l'importo cumulativo dei pagamenti intermedi e dei pagamenti del saldo versati a un partecipante sia pari o superiore a 375000 EUR per un'azione indiretta.

2. Notwithstanding the Financial Regulation and the Implementing Rules, a certificate on the financial statements shall be compulsory only whenever the cumulative amount of interim payments and balance payments made to a participant is equal to EUR 375000 or more for an indirect action.

Tuttavia, per le azioni indirette di durata pari o inferiore a 2 anni, è richiesto ai partecipanti non più di un certificato relativo agli stati finanziari, alla fine del progetto.

However, for indirect actions of a duration of 2 years or less, not more than one certificate on the financial statements shall be requested from the participant, at the end of the project.

2. Where the Community financial contribution to Networks of Excellence takes the form of a lump sum, it shall be calculated according to the number of researchers to be integrated in the Network of Excellence and the duration of the action. The unit value for lump sums paid shall be EUR 23500 per year and per researcher.

Tale importo viene adeguato dalla Commissione conformemente al regolamento finanziario e alle modalità di esecuzione.

That amount shall be adjusted by the Commission in accordance with the Financial Regulation and the Implementing Rules.

3. The work programme shall establish the maximum number of participants and, where appropriate, the maximum number of researchers that may be used as the basis for the calculation of the maximum lump sum. However, participants over and above the maxima for the establishment of the financial contribution may participate as appropriate.

1. La responsabilità finanziaria di ciascun partecipante si limita ai suoi debiti, fatti salvi i paragrafi da 2 a 5.

1. The financial responsibility of each participant shall be limited to its own debt, subject to paragraphs 2 to 5.

2. Al fine di gestire il rischio legato al mancato recupero di importi dovuti alla Comunità, la Commissione istituisce e amministra un fondo di garanzia dei partecipanti (in appresso "il fondo") conformemente all'allegato.

2. In order to manage the risk associated with non-recovery of sums due to the Community, the Commission shall establish and operate a participant guarantee fund (hereinafter "the Fund") in accordance with the Annex.

Gli interessi finanziari generati dal fondo sono aggiunti a quest'ultimo e servono esclusivamente agli scopi stabiliti all'allegato, punto 3, fatto salvo il punto 4 del medesimo.

Financial interest generated by the Fund shall be added to the Fund and shall serve exclusively for the purposes set out in point 3 of the Annex, without prejudice to point 4 thereto.

3. Il contributo al fondo da parte di un partecipante ad un'azione indiretta che assume la forma di una sovvenzione non supera il 5 % del contributo finanziario della Comunità dovuto al partecipante. 3. The contribution to the Fund by a participant to an indirect action taking the form of a grant shall not exceed 5 % of the Community financial contribution due to the participant. At the end of the action the amount contributed to the Fund shall be returned to the participant, via the coordinator, subject to paragraph 4.

5. The deduction referred to in paragraph 4 shall not apply to public bodies, legal entities whose participation in the indirect action is guaranteed by a Member State or an associated country, and higher and secondary education establishments;

La Commissione effettua una verifica ex ante unicamente della capacità finanziaria dei coordinatori e dei partecipanti diversi da quelli di cui al paragrafo 5 che chiedano un contributo finanziario della Comunità per un'azione indiretta superiore a 500000 EUR, salvo casi eccezionali e in particolare qualora, in base alle informazioni già disponibili, vi siano motivi giustificati per dubitare della capacità finanziaria di detti partecipanti.

6. The Commission shall verify ex-ante only the financial capacity of coordinators, and of participants other than those referred to in paragraph 5 applying for a Community financial contribution in an indirect action in excess of EUR 500000, unless there are exceptional circumstances, when, on the basis of information already available, there are justified grounds to doubt the financial capacity of these participants.

1. Se più partecipanti hanno effettuato congiuntamente lavori che hanno generato conoscenze acquisite e se la loro quota rispettiva di partecipazione a tali lavori non può essere definita, essi sono comproprietari di queste conoscenze acquisite.

1. Where several participants have jointly carried out work generating foreground and where their respective share of the work cannot be ascertained, they shall have joint ownership of such foreground.

Essi definiscono un accordo per quanto concerne la ripartizione e le condizioni di esercizio di tale comproprietà secondo i termini della convenzione di sovvenzione.

They shall establish an agreement regarding the allocation and terms of exercise of that joint ownership in accordance with the terms of the grant agreement.

Per le azioni destinate a gruppi specifici, non si applicano l'articolo 39, paragrafo 1, e l'articolo 40, paragrafo 1. In tal caso, se non altrimenti convenuto dai partecipanti, le conoscenze acquisite cadono in comproprietà dei partecipanti del gruppo specifico che beneficia dell'azione.

In the case of actions for the benefit of specific groups, Article 39(1) and Article 40(1) shall not apply. In such cases, foreground shall be jointly owned by the participants which are members of the specific group benefiting from the action, unless otherwise agreed by those participants.

Quando i proprietari di tali conoscenze acquisite non sono membri di tale gruppo, si adoperano affinché il gruppo benefici di tutti i diritti su tali conoscenze acquisite necessari ai fini dell'utilizzo e della diffusione delle stesse, conformemente alle modalità stabilite nell'allegato tecnico della convenzione di sovvenzione.

Where the owners of the foreground are not members of that group, they shall ensure that the group is provided with all the rights to that foreground required for the purposes of using and disseminating it in accordance with the technical annex to the grant agreement.

1. The owner of the foreground may transfer it to any legal entity, subject to paragraphs 2 to 5 and Article 43.

2. Se un partecipante trasferisce la proprietà di conoscenze acquisite, trasferisce al cessionario i suoi obblighi riguardo a dette conoscenze acquisite, compreso l'obbligo di ritrasferire gli stessi a ciascun cessionario successivo, conformemente alla convenzione di sovvenzione.

2. Where a participant transfers ownership of foreground, it shall pass on its obligations regarding that foreground to the assignee, including the obligation to pass them on to any subsequent assignee, in accordance with the grant agreement.

3. Fatti salvi gli obblighi in materia di riservatezza, qualora il partecipante debba cedere diritti di accesso, deve informarne preventivamente gli altri partecipanti alla stessa azione, fornendo informazioni sufficienti sul nuovo proprietario delle conoscenze acquisite per consentir loro di esercitare i loro diritti di accesso, ai sensi della convenzione di sovvenzione.

3. Subject to its obligations concerning confidentiality, where the participant is required to pass on access rights, it shall give prior notice to the other participants in the same action, together with sufficient information concerning the new owner of the foreground to permit them to exercise their access rights under the grant agreement.

However, the other participants may, by written agreement, waive their right to individual prior notice in the case of transfers of ownership from one participant to a specifically identified third party.

4. Following notification in accordance with the first subparagraph of paragraph 3, any other participant may object to any transfer of ownership on the ground that it would adversely affect their access rights.

Qualora uno degli altri partecipanti possa dimostrare che i suoi diritti sarebbero pregiudicati, il trasferimento previsto non avviene fino a quando i partecipanti interessati non giungono ad un accordo.

Where any of the other participants demonstrate that their rights would be adversely affected, the intended transfer shall not take place until agreement has been reached between the participants concerned.

Per quanto concerne le conoscenze acquisite, la Commissione può opporsi ad un trasferimento di proprietà o alla concessione di una licenza esclusiva a terzi stabiliti in un paese terzo non associato al settimo programma quadro, se non ritiene tale trasferimento conforme agli interessi dello sviluppo della competitività dell'economia europea o ai principi etici ovvero a considerazioni sulla sicurezza.

The Commission may object to the transfer of ownership of foreground, or to the granting of an exclusive licence regarding foreground, to third parties established in a third country not associated to the Seventh Framework Programme, if it considers that this is not in accordance with the interests of developing the competitiveness of the European economy or is inconsistent with ethical principles or security considerations.

In tal caso, il trasferimento di proprietà o la cessione di licenze esclusive non avviene, a meno che la Commissione ritenga che siano state adottate misure di salvaguardia adeguate.

Qualora le conoscenze acquisite possano dar luogo ad applicazioni industriali o commerciali, il loro proprietario assicura una protezione adeguata ed efficace delle stesse, tenendo in debito conto i suoi interessi legittimi e gli interessi legittimi, in particolare gli interessi commerciali, degli altri partecipanti all'azione indiretta in questione.

1. Where foreground is capable of industrial or commercial application, its owner shall provide for its adequate and effective protection, having due regard to its legitimate interests and the legitimate interests, particularly the commercial interests, of the other participants in the indirect action concerned.

Qualora un partecipante che non è il proprietario delle conoscenze acquisite faccia valere il suo interesse legittimo, deve comunque dimostrare che ne deriverebbe un danno di una gravità sproporzionata.

Where a participant who is not the owner of the foreground invokes its legitimate interest, it must, in any given instance, show that it would suffer disproportionately great harm.

2. Qualora le conoscenze acquisite possano dar luogo ad applicazioni industriali o commerciali e il loro proprietario non le protegga e non le trasferisca ad un altro partecipante, ad un soggetto collegato stabilito in uno Stato membro o paese associato o a terzi stabiliti in uno Stato membro o paese associato insieme agli obblighi correlati, conformemente all'articolo 42, non è possibile procedere ad un'attività di diffusione senza informarne preventivamente la Commissione.

Where the foreground is capable of industrial or commercial application and its owner does not protect it, and does not transfer it to another participant, an affiliated entity established in a Member State or associated country or any other third party established in a Member State or associated country along with the associated obligations in accordance with Article 42, no dissemination activities may take place before the Commission has been informed.

In tal caso la Commissione, con l'accordo del partecipante interessato, può assumersi la proprietà di queste conoscenze acquisite e adottare misure per proteggerle in modo adeguato ed efficace. In such cases, the Commission may, with the consent of the participant concerned, assume ownership of that foreground and adopt measures for its adequate and effective protection. The participant concerned may refuse consent only if it can demonstrate that its legitimate interests would suffer disproportionately great harm.

Le pubblicazioni, le richieste di brevetti depositate da un partecipante o a suo nome, o qualsiasi altra attività di diffusione concernente conoscenze acquisite deve contenere una menzione, che può includere mezzi visivi, che precisi che queste conoscenze acquisite sono state prodotte con l'aiuto del sostegno finanziario della Comunità.

All publications, patent applications filed by or on behalf of a participant, or any other dissemination relating to foreground, shall include a statement, which may include visual means, that the foreground concerned was generated with the assistance of financial support from the Community.

La formulazione di tale menzione è stabilita nella convenzione di sovvenzione.

The terms of that statement shall be established in the grant agreement.

2. I partecipanti garantiscono che le conoscenze acquisite di loro proprietà siano diffuse il più rapidamente possibile. Se i partecipanti omettono di farlo, la Commissione può diffondere essa stessa tali conoscenze acquisite. La convenzione di sovvenzione può stabilire limiti di tempo a tale proposito.

2. Each participant shall ensure that the foreground of which it has ownership is disseminated as swiftly as possible. If it fails to do so the Commission may disseminate that foreground. The grant agreement may set out time-limits in this respect.

Following notification, any of those participants may object if it considers that its legitimate interests in relation to its foreground or background could suffer disproportionately great harm. In such cases, the dissemination activity may not take place unless appropriate steps are taken to safeguard these legitimate interests.

Without prejudice to Articles 49 and 50 and the grant agreement, participants in the same action shall inform each other as soon as possible of any limitation to the granting of access rights to background, or of any other restriction which might substantially affect the granting of access rights.

2. Participants in the same indirect action shall enjoy access rights to background, if it is needed to use their own foreground provided that the participant concerned is entitled to grant them.

An affiliated entity established in a Member State or associated country shall also have access rights, referred to in paragraphs 1 and 2, to foreground or background under the same conditions as the participant to which it is affiliated, unless otherwise provided for in the grant agreement or consortium agreement.

1. Participants in the same "frontier" research action shall enjoy royalty-free access rights to foreground and background for implementation or for the purposes of pursuing further research activities.

I diritti di accesso da usarsi a fini diversi dal perseguimento di ulteriori attività di ricerca sono gratuiti, salvo disposizione contraria della convenzione di sovvenzione.

Access rights for use for purposes other than those of pursuing further research activities shall be royalty free unless otherwise provided in the grant agreement.

2. Quando il gruppo specifico che beneficia dell'azione indiretta è rappresentato da un soggetto giuridico che partecipa all'azione al suo posto, tale soggetto giuridico è autorizzato a concedere sublicenze sugli eventuali diritti di accesso di cui dispone a quelli tra i suoi membri che sono stabiliti in uno Stato membro o in un paese associato.

1. The Community may award a contribution to the European Investment Bank (EIB) to cover the risk for loans granted or guarantees given by the EIB in support of research objectives set out under the Seventh Framework Programme (the Risk-Sharing Finance Facility).

2. La BEI offre questi prestiti o garanzie nel rispetto dei principi di giustizia, trasparenza, imparzialità e equità.

FONDO DI GARANZIA PER I PARTECIPANTI

PARTICIPANT GUARANTEE FUND

1. Il fondo sarà gestito dalla Comunità rappresentata dalla Commissione in qualità di agente esecutivo a nome dei partecipanti, alle condizioni che saranno stabilite dalla convenzione di sovvenzione tipo.

1. The Fund will be managed by the Community represented by the Commission acting as executive agent on behalf of the participants, under conditions to be established by the model grant agreement.

La Commissione affiderà la gestione finanziaria del fondo alla Banca europea per gli investimenti o, conformemente all'articolo 14, lettera b), ad un istituto finanziario appropriato (in appresso "banca di deposito"). La banca di deposito gestisce il fondo secondo le istruzioni impartite dalla Commissione.

The Commission will entrust the financial management of the Fund either to the European Investment Bank or, in accordance with Article 14, point (b), to an appropriate financial institution (hereinafter "the depository bank"). The depository bank shall manage the Fund pursuant to a brief by the Commission.

2. La Commissione può pareggiare, a partire dal prefinanziamento iniziale dovuto al consorzio, il contributo dei partecipanti al fondo e versarlo al fondo a nome loro.

2. The Commission may offset, from the initial pre-financing that it will pay to the consortium, the participants' contribution to the Fund, and pay it on their behalf to the Fund.

3. Se un partecipante deve versare degli importi alla Comunità, la Commissione, fatte salve le sanzioni che possono essere comminate al partecipante inadempiente conformemente al regolamento finanziario, può:

3. Where amounts are due to the Community by a participant, the Commission may, without prejudice to penalties which may be imposed on the defaulting participant in accordance with the Financial Regulation, either:

a) ordinare alla banca di deposito di trasferire direttamente l'importo dovuto dal fondo al coordinatore dell'azione indiretta, se questa è ancora in corso, ed i restanti partecipanti convengono di applicarlo in modo identico riguardo ai suoi obiettivi, conformemente all'articolo 18, paragrafo 4. Gli importi trasferiti dal fondo saranno considerati contributi finanziari della Comunità; oppure

(a) order the depositary bank to directly transfer the amount due from the Fund to the coordinator of the indirect action if it is still on-going and the remaining participants agree to implement it to the identical regarding its objectives, in accordance with Article 18(4). Amounts transfered from the Fund will be regarded as Community financial contribution; or

b) se l'azione indiretta è cessata o già conclusa, procedere al recupero effettivo dell'importo in questione dal fondo.

(b) recover effectively the said amount from the Fund should the indirect action be terminated or already completed.

La Commissione emetterà un ordine di recupero a favore del fondo nei confronti del partecipante. La Commissione può adottare a tal fine una decisione di recupero conformemente al regolamento finanziario.

The Commission will emit to the benefit of the Fund a recovery order against that participant. The Commission may adopt to that end a recovery decision in accordance with the Financial Regulation.

4. Gli importi recuperati dal fondo durante il settimo programma quadro costituiranno entrate ad esso destinate ai sensi dell'articolo 18, paragrafo 2 del regolamento finanziario.

4. The amounts recovered from the Fund during the Seventh Framework Programme will constitute revenue assigned to it within the meaning of Article 18(2) of the Financial Regulation.

Non appena sarà completata l'esecuzione di tutte le sovvenzioni nell'ambito del settimo programma quadro, tutti gli importi residui del fondo saranno recuperati dalla Commissione ed iscritti nel bilancio della Comunità, fatte salve decisioni in merito all'Ottavo programma quadro.

Once the implementation of all grants under the Seventh Framework Programme is complete, any sums outstanding from the Fund will be recovered by the Commission and entered into the budget of the Community, subject to decisions on the Eighth Framework Programme
