IL CONSIGLIO DELL'UNIONE EUROPEA,

THE COUNCIL OF THE EUROPEAN UNION,

visto il trattato che istituisce la Comunità europea, in particolare l'articolo 171,

Having regard to the Treaty establishing the European Community, and in particular Article 171 thereof,

vista la proposta della Commissione,

Having regard to the proposal from the Commission,

visto il parere del Parlamento europeo [1],

Having regard to the Opinion of the European Parliament [1],

visto il parere del Comitato economico e sociale europeo [2],

Having regard to the Opinion of the European Economic and Social Committee [2],

considerando quanto segue:

(1) L’impresa comune Galileo è stata istituita dal regolamento (CE) n. 876/2002 [3], del 21 maggio 2002, ai fini dell'esecuzione della fase di sviluppo e ai fini della preparazione delle fasi successive del programma Galileo.

(1) The Galileo Joint Undertaking was set up by Regulation (EC) No876/2002 [3] of 21 May 2002, for the implementation of the development phase and for the preparation of the successive phases of the Galileo programme.

(2) Il regolamento (CE) n.876/2002 prevede che l’impresa comune Galileo è costituita per un periodo di quattro anni che corrispondono alla fase di sviluppo. Tale periodo è stato inizialmente previsto dal 2002 al 2005 compreso.

(2) Regulation (EC) No876/2002 provides that the Galileo Joint Undertaking is established for a period of four years, corresponding to the development phase; this period was initially intended to cover the years 2002 to 2005 inclusive.

(3) Tuttavia, allo stadio attuale del programma Galileo, la fase di sviluppo non sarà completata prima della fine del 2008 e questa proroga dell’esistenza dell’impresa comune Galileo oltre il 2006 è inutile e costosa, dato che l’Autorità di vigilanza del GNSS [4] europeo, istituita dal regolamento (CE) n.1321/2004 [5], del 12 luglio 2004, sarà in grado di riprendere progressivamente nel corso del 2006 e di condurre successivamente a buon fine l’insieme delle attività attualmente esercitate dall'impresa comune Galileo.

(3) However, as the Galileo programme currently stands, the development phase will not be completed before the end of 2008. And it seems as well pointless and costly to extend the Galileo Joint Undertaking beyond 2006, since the European GNSS [4] Supervisory Authority, set up by Regulation (EC) No1321/2004 [5] of 12 July 2004, will be able to gradually take over during the course of 2006 and then complete all the activities currently being carried out by the Galileo Joint Undertaking.

(4) Affinché l’Autorità di vigilanza del GNSS europeo possa riprendere le attività dell’impresa comune Galileo in modo ottimale, è tuttavia auspicabile una coesistenza delle due strutture per qualche mese e che l’Autorità di vigilanza del GNSS europeo sia strettamente associata alle attività dell’impresa comune Galileo durante tale periodo.

(4) In order to enable the European GNSS Supervisory Authority to take over the activities of the Galileo Joint Undertaking in an optimum manner, it would, however, be desirable for the two structures to co-exist for a few months and for the European GNSS Supervisory Authority to be closely associated with the activities of the Galileo Joint Undertaking during this period.

(5) È quindi opportuno prevedere che l’impresa comune Galileo cessi le sue attività il 31 dicembre 2006.

(5) Therefore, it should be provided for the Galileo Joint Undertaking to cease operating on 31 December 2006.

(6) Inoltre, per correggere lo statuto dell’impresa comune Galileo adottato con il regolamento (CE) n.876/2002, il quale contiene varie disposizioni erronee o ambigue, detto statuto dovrebbe essere modificato.

(6) In addition, in order to correct the Statutes of the Galileo Joint Undertaking adopted by Regulation (EC) No876/2002, which contain several erroneous or ambiguous provisions, those Statutes should be amended.

(7) Le pertinenti procedure di modifica sono state seguite a norma del regolamento (CE) n.876/2002.

(7) The relevant amendment procedures have been followed in accordance with Regulation (EC) No876/2002.

(8) Il regolamento (CE) n.876/2002 dovrebbe pertanto essere modificato di conseguenza,

HA ADOTTATO IL PRESENTE REGOLAMENTO:

HAS ADOPTED THIS REGULATION:

Nel paragrafo 1 dell'articolo 1 del regolamento (CE) n.876/2002 le parole "per un periodo di 4 anni" sono sostituite dalle parole "fino al 31 dicembre 2006".

In the first paragraph of Article 1 of Regulation (EC) No876/2002 the words "for a period of four years" are replaced by the words "until 31 December 2006".

Lo statuto dell’impresa comune Galileo allegato al regolamento (CE) n.876/2002 è modificato come segue:

The Statutes of the Galileo Joint Undertaking annexed to Regulation (EC) No876/2002 are amended as follows:

1) l'articolo 1, paragrafo 4, è sostituito dal seguente:

1. Article 1(4) is replaced by the following text:

"4. I fondi dell'impresa comune sono costituiti dai contributi dei suoi membri. Sono ammessi i conferimenti in natura. Si dovrà fare una valutazione del loro valore e della loro utilità per la realizzazione dei compiti affidati all'impresa comune.

"4. The funds of the Joint Undertaking shall be made up of contributions of its members. Assets in kind may be brought in. They shall be subject to an evaluation of their value and their utility to the carrying-out of the activities of the Joint Undertaking.

I membri fondatori sottoscrivono le loro quote di contributo a concorrenza degli importi indicati nei loro rispettivi impegni, vale a dire 520 milioni di EUR per la Comunità europea e a 50 milioni di EUR per l'Agenzia spaziale europea. Essi possono all'occorrenza, apportare contributi aggiuntivi per finanziare la fase di sviluppo.

The founding members shall subscribe their shares of the financial contributions to the extent of the amounts indicated in their respective commitments of EUR 520 million for the European Community and EUR 50 million for the European Space Agency. They may, as necessary, make additional contributions to finance the development phase.

Immediatamente dopo che la Commissione ha informato il Consiglio dei risultati della procedura di gara d'appalto, il consiglio di amministrazione invita le imprese di cui al paragrafo 3, lettera b), secondo trattino, a sottoscrivere le loro quote. Le imprese sono tenute a sottoscrivere 5 milioni di EUR entro il termine di un anno. Questo importo passa a 250000 EUR per le imprese che abbiano sottoscritto parte del capitale a titolo individuale o collettivo, che possono essere qualificate piccole o medie imprese ai sensi della raccomandazione della Commissione del 3 aprile 1996 relativa alla definizione delle piccole e medie imprese [6].

Once the Commission has informed the Council of the outcome of the tendering procedure, the Administrative Board shall immediately invite the undertakings mentioned in the second indent of paragraph 3(b) to subscribe. Undertakings need to subscribe EUR 5 million within a period of one year. That amount shall be reduced to EUR 250000 for undertakings, subscribing individually or collectively, which may be regarded as small or medium-sized enterprises within the meaning of the Commission Recommendation of 3 April 1996 concerning the definition of small and medium-sized enterprises [6].

Il consiglio di amministrazione decide l'ammontare dei suddetti contributi che deve essere conferito proporzionalmente alla quota dei contributi finanziari sottoscritti da ciascun membro e il membro dell'impresa comune che non rispetta gli impegni assunti in relazione ai conferimenti in natura o che non versa nei termini prescritti l'importo di cui è debitore perde, inizialmente, il diritto di voto in seno al consiglio di amministrazione e, dopo sei mesi, la qualità di membro fintantoché non abbia ottemperato all'obbligo in questione.

The Administrative Board shall decide on the amounts of these contributions which should be released in proportion to the share of the financial contributions subscribed by each member. Any member of the Joint Undertaking which fails to meet its commitments concerning the bringing-in of assets in kind or which does not release the amount due within the prescribed time-limits shall be, as a first step, disqualified from voting in the Administrative Board and, after six months, membership shall be repealed until such time as its obligations have been met.

Gli impegni finanziari dell'impresa comune non devono superare l'ammontare dei contributi a sua disposizione.

The financial commitments of the Joint Undertaking shall not exceed the amount of the contributions at its disposal.

2) all'articolo 8, paragrafo 1, lettera b), la seconda frase è sostituita dalla seguente:

2. In Article 8(1)(b), the second sentence is replaced by the following sentence:

"Ciascun membro dell'impresa comune dispone di un numero di voti proporzionale alla quota dei contributi che ha sottoscritto.";

"Each member of the Joint Undertaking shall have a number of votes in proportion to the share of the contributions subscribed by them.";

3) l’articolo 20 è sostituito dal seguente:

3. Article 20 is replaced by the following text:

L’impresa comune è costituita per un periodo decorrente dal 28 maggio 2002 fino al 31 dicembre 2006."

The Joint Undertaking shall be established for a period starting on 28 May 2002 and ending on 31 December 2006.".

Il presente regolamento entra in vigore il giorno della pubblicazione nella Gazzetta ufficiale dell'Unione europea.

This Regulation shall enter into force on the day of its publication in the Official Journal of the European Union.

Il presente regolamento è obbligatorio in tutti i suoi elementi e direttamente applicabile in ciascuno degli Stati membri.

This Regulation shall be binding in its entirety and directly applicable in all Member States.
